Service Overview

Detailed Scope & Legal Framework

Allowing an inactive corporation to sit unmonitored does not make it disappear. Ongoing filing mandates, potential penalties, and registry compliance notices continue to accumulate until the corporation is formally dissolved. C1 Business Logistics manages the legal closure process: drafting shareholder and director dissolution resolutions, confirming asset distribution status, and submitting the official Articles of Dissolution through the Ontario Business Registry for an approved fee of $249 + HST (registry disbursements separate).

Frequently Asked Questions

Can I dissolve a corporation that still owes money or taxes?

No. Under Ontario corporate law, a corporation must satisfy all liabilities and tax obligations before filing Articles of Dissolution. Dissolving with unpaid debts can create personal director liability.

Does dissolving the corporation automatically close my CRA accounts?

No. You must separately file final T2 returns and request closure of your GST/HST and payroll accounts with the CRA. Our sister division, C1 Tax & Accounting Services, can assist with final returns.

Ideal For:

  • Owners closing down an inactive Ontario corporation
  • Founders transitioning from an incorporated company back to a sole proprietorship
  • Shareholders winding down holding or operating companies cleanly
